Treatment Provider Agreement

This Treatment Provider Agreement (“Agreement”) is entered into between Digjy LLC, the owner and operator of RecoveryBuddy AI (“RecoveryBuddy AI,” “we,” “our,” or “us”), and each treatment provider, behavioral health organization, healthcare practice, recovery center, rehabilitation facility, hospital, clinic, counseling practice, outpatient program, residential program, individual practitioner, or other organization (“Provider”) that registers for or uses the RecoveryBuddy AI platform.

This Agreement governs the Provider’s access to and use of the RecoveryBuddy AI website, mobile applications, WordPress plugin, provider dashboard, artificial intelligence features, messaging system, recovery meetings, client management tools, analytics, reporting, and all related products and services (collectively, the “Platform”).

By creating a Provider account or using the Platform, the Provider agrees to be legally bound by this Agreement.

Eligibility

The individual accepting this Agreement represents and warrants that they have the legal authority to bind the Provider to this Agreement.

The Provider further represents that it:

Is legally organized and authorized to conduct business where required.
Maintains all licenses, certifications, permits, and registrations required by applicable law.
Will comply with all applicable federal, state, local, and professional requirements.
Will maintain accurate registration information throughout its use of the Platform.

RecoveryBuddy AI may request documentation to verify eligibility at any time.

Independent Provider Relationship

The Provider is an independent entity.

Nothing contained in this Agreement creates or implies:

Employment.
Partnership.
Joint venture.
Agency.
Franchise.
Fiduciary relationship.

The Provider is solely responsible for its own professional services, personnel, operations, and compliance obligations.

RecoveryBuddy AI is a technology platform and does not direct or supervise the Provider’s clinical practice.

Scope of Services

RecoveryBuddy AI provides software and technology designed to support Providers with features that may include:

Client management.
Secure messaging.
Recovery planning.
AI-assisted administrative tools.
Progress tracking.
Appointment coordination.
Recovery meetings.
Educational resources.
Reporting.
Organization management.
Documentation support.
Analytics.
Workflow automation.

The Platform is intended to assist Providers and does not replace independent professional judgment.

Professional Responsibilities

The Provider agrees to:

Exercise independent clinical judgment.
Comply with applicable professional standards.
Maintain required licenses and certifications.
Obtain legally required patient authorizations and consents.
Protect confidential information.
Maintain accurate records.
Follow applicable laws and regulations.
Provide services consistent with accepted professional practices.

RecoveryBuddy AI does not supervise clinical care or treatment decisions.

Artificial Intelligence

RecoveryBuddy AI may provide AI-powered tools to assist Providers with administrative and educational tasks.

AI-generated content may include:

Summaries.
Draft documentation.
Recovery planning assistance.
Educational information.
Workflow recommendations.
Meeting summaries.

The Provider acknowledges that AI-generated content:

May contain inaccuracies.
May be incomplete.
May require correction.
Does not constitute professional medical judgment.
Does not replace clinical decision-making.

The Provider is solely responsible for reviewing, verifying, editing, approving, and using any AI-generated content before relying upon it in connection with patient care or clinical documentation.

Client Information

The Provider remains solely responsible for:

Determining what client information is entered into the Platform.
Ensuring information is accurate.
Maintaining confidentiality.
Protecting Protected Health Information (“PHI”).
Configuring appropriate user permissions.
Managing workforce access.
Obtaining required authorizations.

RecoveryBuddy AI processes information in accordance with applicable agreements, our Privacy Policy, and applicable law.

HIPAA Compliance

Where applicable, the Provider agrees to:

Comply with HIPAA.
Comply with applicable healthcare privacy laws.
Maintain required policies and procedures.
Protect PHI.
Report breaches as required by law.
Execute a Business Associate Agreement with Digjy LLC where required before using the Platform to process PHI.

Nothing in this Agreement creates a Business Associate relationship unless a separate written Business Associate Agreement has been fully executed by both parties.

Security

The Provider agrees to implement reasonable administrative, technical, and physical safeguards to protect Platform access and client information.

The Provider shall:

Protect login credentials.
Use strong passwords.
Enable multi-factor authentication where available.
Restrict access to authorized personnel.
Promptly notify RecoveryBuddy AI of suspected unauthorized access or security incidents.

Provider Accounts

The Provider is responsible for:

All activity occurring under its accounts.
Maintaining accurate account information.
Managing user permissions.
Removing access for former personnel.
Promptly updating organizational information.

RecoveryBuddy AI may suspend or terminate accounts used in violation of this Agreement.

Fees and Payments

Where applicable, the Provider agrees to pay all subscription fees, service fees, transaction fees, or other charges associated with use of the Platform in accordance with the pricing and payment terms in effect at the time services are provided.

Failure to pay applicable fees may result in suspension or termination of access.

Intellectual Property

RecoveryBuddy AI, its software, artificial intelligence systems, branding, documentation, interfaces, workflows, designs, source code, and related technology remain the exclusive property of Digjy LLC or its licensors.

This Agreement grants the Provider a limited, non-exclusive, non-transferable, revocable license to use the Platform during the term of this Agreement.

The Provider acquires no ownership rights in the Platform.

Confidential Information

Each party agrees to protect the confidential information of the other party using reasonable care.

Confidential information includes non-public business, technical, operational, financial, and healthcare information disclosed during the relationship.

Confidentiality obligations survive termination of this Agreement to the extent required by law or contract.

Prohibited Activities

The Provider shall not:

Reverse engineer the Platform except where non-waivable law permits.
Circumvent security measures.
Upload malicious software.
Attempt unauthorized access.
Infringe intellectual property rights.
Misrepresent professional credentials.
Use the Platform for unlawful purposes.
Provide false information.
Abuse AI features.
Share account credentials with unauthorized persons.

Suspension and Termination

RecoveryBuddy AI may suspend or terminate Provider access if the Provider:

Violates this Agreement.
Violates applicable law.
Engages in fraudulent activity.
Endangers Platform security.
Misuses AI features.
Fails to pay applicable fees.
Misrepresents qualifications.
Engages in professional misconduct affecting Platform integrity.

The Provider may terminate its use of the Platform at any time, subject to any outstanding contractual or payment obligations.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGJY LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR ERROR-FREE OPERATION.

RecoveryBuddy AI does not warrant that the Platform will satisfy the Provider’s specific clinical, operational, regulatory, or business requirements.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGJY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR INTERRUPTION OF BUSINESS, ARISING FROM OR RELATED TO THE PROVIDER’S USE OF THE PLATFORM.

To the extent liability cannot be excluded, Digjy LLC’s aggregate liability shall be limited as provided in the RecoveryBuddy AI Terms of Service and applicable law.

Indemnification

The Provider agrees to defend, indemnify, and hold harmless Digjy LLC, RecoveryBuddy AI, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

The Provider’s breach of this Agreement.
The Provider’s professional services.
The Provider’s negligence or misconduct.
Violations of applicable law.
Violations of third-party rights.
Improper handling of confidential information or PHI.
Content uploaded or submitted by the Provider.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles.

Any disputes shall be resolved in accordance with the dispute resolution provisions contained in the RecoveryBuddy AI Terms of Service.

Changes to This Agreement

RecoveryBuddy AI may modify this Agreement from time to time to reflect changes in applicable law, Platform functionality, industry standards, or business operations.

Updated versions will be posted on the RecoveryBuddy AI website with a revised Last Updated date.

Continued use of the Platform after the effective date of an updated Agreement constitutes acceptance of the revised terms.
